Lucrad Pty Ltd ("Lucrad", "we", "us", or "our") is a programmatic ad tech company operating across the APAC region. This Privacy Policy explains how we collect, use, disclose, and safeguard your information when you visit our website, use our services, or interact with our partners.
These Terms of Use ("Terms") form a binding agreement between Lucrad Pty Ltd ("Lucrad," "we," "us," or "our") and any Publisher or partner ("you," "your") engaging with our platform, products, or services. By accessing or using any part of the Lucrad ecosystem, including but not limited to web services, APIs, ad serving technology, or hosted platforms, you accept and agree to comply with these Terms in full.
1. Definitions
- Publisher: Any person or entity making ad inventory available via websites, CTV, apps, or digital properties.
- Advertiser: Any party who contracts with Lucrad directly or indirectly for the placement of ads.
- The Company: Refers to Lucrad Pty Ltd.
- Third Party: Any other entity involved excluding the Advertiser.
2. Ad Placement & Positioning
- Ads must be displayed exactly as delivered by Lucrad, without modifications, and only on approved inventory.
- Publishers are responsible for all content on their sites and apps. Lucrad retains full rights over the ad creatives and placements.
- Publishers affirm that all content and placements comply with local laws, do not infringe third-party rights, and do not include defamation, illegal promotion, or intellectual property violations.
3. Payments & Reporting
- Net revenue share payments are made within 60 days after month-end, based solely on Lucrad’s reporting metrics.
- Minimum payment threshold is USD $500. Balances below will roll over.
- Fraudulent traffic is strictly prohibited. Lucrad reserves the right to withhold or claw back payments in the case of non-human traffic, incentivized clicks, cloaking, or any invalid activity.
- Publishers must provide real-time data (such as request identifiers, IPs, etc.) as requested to support fraud analysis.
4. Traffic and Campaign Tracking
- Campaign performance will be measured solely through Lucrad’s reporting systems or third-party ad servers designated by Lucrad.
- Lucrad reserves the right to adjust reporting based on traffic quality or advertiser feedback.
5. Termination
- Either party may terminate the agreement or any insertion order with 72 hours’ written notice.
- Payments will be made for ads delivered up to the termination date.
6. Ad Materials & Branding
- Both parties may reference their partnership and use each other's logo in promotional materials, subject to brand guidelines.
7. Indemnification & Limitations
- Publishers will indemnify Lucrad for issues arising from their sites, content, or ad placements.
- Lucrad is not the agent of any advertiser. It acts as a conduit.
- Total liability is limited to the total paid by Lucrad to the publisher in the 12 months preceding a claim.
- All services are provided “as-is” without warranty of merchantability, fitness, or error-free operation.
8. Data Usage, Privacy & Legal Compliance
- Publishers agree not to pass personally identifiable information (PII) to Lucrad.
- Lucrad owns all data it collects in connection with its technology.
- Publishers must maintain and display a privacy policy disclosing third-party ad tech and obtain all legally required consents.
- No ads may be served on properties directed at children under 13 (COPPA compliance).
9. Hosting and Platform Services (if applicable)
- Hosting services may be offered on a SaaS basis.
- Customers may not resell or sublicense the hosting platform.
- Customer content must comply with all applicable laws.
- Inappropriate, illegal, misleading, or harmful content is prohibited.
- Violations of system security or spam regulations may result in immediate suspension.
10. Governing Law
- These Terms shall be governed by the laws of New South Wales, Australia.
- Any disputes shall be resolved exclusively in NSW courts.
11. Modifications
- Lucrad may update these Terms from time to time. Continued use of the services indicates acceptance of the revised Terms.
